Terms of Service

1. Acceptance

These Terms of Service (“Terms”) govern your access to and use of the GifChat Earn advertising platform and creator analytics dashboard (the “Services”) provided by GifChat (“GifChat,” “we,” “us,” or “our”). By creating an account or using the Services, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Services.

2. Eligibility & Accounts

You must be at least 18 years old, or the age of majority in your jurisdiction, and able to form a binding contract to use the Services. You register and sign in using an email and password managed through Supabase Auth. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us promptly of any unauthorized use. The information you provide must be accurate and kept up to date.

3. Advertiser Terms & Billing

If you use the Services to run advertising campaigns, the following apply:

• Campaigns are billed on a cost-per-thousand-impressions (CPM) basis. You authorize us to charge your wallet balance as impressions are served.
• Payments and wallet top-ups are processed through Stripe. By adding funds, you agree to Stripe's terms and authorize the applicable charges.
• You are responsible for funding your wallet. When your available balance or campaign budget is exhausted, affected campaigns may automatically pause until additional funds are added.
• Campaigns may be subject to review and approval for quality and brand safety before going live. We may reject, pause, or remove campaigns or creatives that violate these Terms or our policies.
• Except where required by law, amounts spent on delivered impressions are non-refundable. Unused wallet balances may be subject to our refund policies.

4. Creator Terms

If you use the Services as a creator, you may access analytics, engagement metrics, and eligibility indicators related to your participation. Any rewards, milestones, or eligibility figures displayed are indicators only and do not constitute a promise, offer, or guarantee of payment unless separately confirmed in a written agreement. You are responsible for the content you submit and for complying with applicable laws and our policies.

5. Acceptable Use

You agree not to:

• Upload or promote content that is unlawful, deceptive, infringing, defamatory, or otherwise prohibited by our policies.
• Attempt to defraud the platform, generate invalid or artificial impressions or clicks, or interfere with ad delivery or billing.
• Reverse engineer, disrupt, overload, or gain unauthorized access to the Services or their underlying systems.
• Misrepresent your identity or use the Services to violate the rights of others.

6. Analytics Disclaimer

The analytics, impression counts, reach, click, and spend figures displayed through the Services are provided for informational purposes only and may be estimated, modeled, or simulated. They are not guarantees of actual delivery, performance, audience, or results, and they should not be treated as audited or financial figures. Actual results may differ materially. You agree not to rely on these figures as the sole basis for business, financial, or legal decisions.

7. Intellectual Property

The Services, including their software, design, and content (excluding content you provide), are owned by GifChat and its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Services in accordance with these Terms. You retain ownership of the creatives and content you submit, and you grant us a license to host, display, and serve that content as needed to operate the Services and deliver your campaigns.

8. Disclaimers & Limitation of Liability

The Services are provided “as is” and “as available,” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or that any metrics or results will be accurate or achieved.

To the maximum extent permitted by law, GifChat and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Services. Our total liability for any claim arising out of or relating to the Services will not exceed the amounts you paid to us in the three months preceding the event giving rise to the claim.

9. Termination

You may stop using the Services at any time. We may suspend or terminate your access, with or without notice, if you violate these Terms, if required by law, or to protect the Services or other users. Upon termination, your right to use the Services ceases. Provisions that by their nature should survive termination — including billing obligations, disclaimers, and limitations of liability — will survive.

10. Governing Law

These Terms are governed by the laws of the jurisdiction in which GifChat is established, without regard to conflict-of-laws principles. You agree to the exclusive jurisdiction of the courts located there for any dispute arising out of or relating to these Terms or the Services, except where applicable law provides otherwise.

11. Changes

We may modify these Terms from time to time. When we make material changes, we will update the “Last updated” date above and, where appropriate, provide additional notice. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
